Terms and Conditions

These Terms and Conditions govern your use of websites, applications, digital services, content, and general services operated by The Nest Investment Group LLC.

The Nest Investment Group LLC may be referred to in these Terms as “The Nest,” “we,” “us,” or “our.”

Flowstone is a product and service offered by The Nest Investment Group LLC. Flowstone is not a separate legal entity.

Your access to or use of a website or service that links to these Terms means that you agree to these Terms and our Privacy Policy.

Additional agreements may apply to particular products, purchases, licenses, events, engagements, or transactions.

1. Specific services may have additional terms.

The Nest offers different types of products and services, and one set of general website Terms cannot replace the agreements that apply to each of them.

Additional terms may apply to flowstone subscriptions and accounts, flowstone school and care licenses, gifts, events, retreats, coaching and advisory engagements, corporate services, real-estate transactions, investment opportunities, and other specific services.

When specific written terms conflict with these general Terms, the specific terms will control for the product, service, or transaction that they address.

2. Eligibility requirements depend on the service.

You must have the legal capacity to enter into a binding agreement in order to make purchases or enter into contracts with The Nest.

Account eligibility and parental or guardian requirements may vary by product.

Children and teens may use certain flowstone experiences through a parent, guardian, school, care organization, or other authorized setting in accordance with the rules that apply to that service.

Organizational purchasers are responsible for ensuring that the individuals they authorize to use a service are permitted to do so.

3. Account information must remain accurate and secure.

Some services require an account, login, work email address, access code, or other credential.

You agree to provide accurate information when creating or maintaining an account.

You are responsible for protecting credentials associated with your account and for activity that occurs through access under your control.

You should notify us promptly if you believe that an account, credential, or organizational access method has been compromised.

Organizations are responsible for removing access for staff members who are no longer authorized to use an organizational service.

4. Our services must be used lawfully and appropriately.

You may use our websites and services only for lawful purposes and in accordance with these Terms and any applicable product-specific agreement.

You may not interfere with the operation or security of a service, attempt to gain unauthorized access, circumvent account or license restrictions, introduce malicious code, impersonate another person, misuse another person's credentials, scrape or reproduce protected content without authorization, or use a service in a manner that violates applicable law or the rights of another person.

School and care licenses may be used only within the scope of the license purchased.

5. The Nest owns its intellectual property.

The websites, applications, designs, graphics, photographs, audio, video, text, practices, assessments, exercises, software, branding, trademarks, logos, and other materials provided by The Nest are owned by The Nest Investment Group LLC or used under permission from their respective owners.

These materials are protected by copyright, trademark, and other intellectual property laws.

You receive a limited, nonexclusive, nontransferable right to use our materials for personal use or authorized organizational use in connection with the service provided.

This limited right does not authorize resale, republication, commercial reproduction, modification, distribution, sublicensing, or creation of derivative materials unless The Nest provides written permission.

Organizational licenses may provide additional permitted uses under their specific license terms.

6. Your private content remains private content.

You retain ownership of content that you provide to us, subject to the limited rights reasonably necessary for us to operate the service you requested.

Private journals, reflections, assessment responses, confidential inquiries, coaching communications, and similar private content do not become public or promotional content merely because you submit them through one of our services.

When you intentionally submit content for public display, such as a public comment, community post, or review, you grant The Nest a nonexclusive, worldwide, royalty-free license to host, reproduce, display, and distribute that content as reasonably necessary to operate the feature in which you submitted it.

Testimonials, photographs, videos, stories, or other material used specifically for advertising or promotional purposes will be used according to the permission or authorization provided for that use.

7. Purchases are governed by the terms presented with the purchase.

Prices, billing periods, license terms, included features, renewal terms, and other material purchase information will be presented through the applicable product, checkout page, invoice, order form, or agreement.

Some offerings may be subscriptions. Other offerings may be annual licenses, one-time purchases, event registrations, deposits, gifts, or separately contracted services.

A recurring service will renew only as described in the applicable purchase terms.

School and care licenses may have their own renewal process and license conditions.

Applicable taxes may be added where required.

Refunds, cancellations, transfers, and credits are governed by the refund policy, event policy, license agreement, or purchase terms that apply to the particular product or service.

8. Flowstone is a self-guided wellbeing service.

Flowstone provides self-guided wellbeing, reflection, grounding, breathing, sensory, educational, and related experiences.

Flowstone does not provide medical care, mental-health treatment, psychotherapy, diagnosis, emergency intervention, or crisis treatment.

Information provided through flowstone is not a substitute for advice or treatment from a qualified healthcare or mental-health professional.

In the United States, 988 provides suicide and crisis support, and 911 should be used for immediate emergencies.

Flowstone features, practices, content, availability, and functionality may change as the product develops.

The Nest does not guarantee that any particular practice or feature will produce a specific personal, emotional, educational, or wellbeing outcome.

9. School and care use is subject to organizational licensing.

Flowstone Spaces allows schools, care programs, and other organizations to use flowstone through organizational access.

An organizational license permits use only within the scope purchased.

Staff access, shared-space access, reporting, student privacy, participant privacy, license limits, renewals, and other organizational requirements may be governed by additional school, care, student-data, or license agreements.

A school or care organization is responsible for determining how flowstone fits within its own policies, professional responsibilities, individualized plans, educational programs, and legal obligations.

Flowstone does not assign students to MTSS tiers, make clinical decisions, diagnose participants, or replace the professional judgment of educators, clinicians, counselors, caregivers, or other qualified professionals.

10. Assessments are reflective and informational tools.

The Pre-Vision Assessment and other assessments offered by The Nest are intended to support reflection, awareness, and conversation.

An assessment result is not a medical diagnosis, psychological evaluation, clinical assessment, credit decision, financial assessment, investment recommendation, eligibility determination, or guarantee of future results.

Assessment scores and result categories should not be interpreted as professional diagnoses or formal determinations.

11. Coaching, advisory, corporate, and personal-development services have defined limits.

The Nest may offer coaching, facilitation, leadership development, personal-development experiences, advisory services, workshops, corporate engagements, and confidential conversations.

Use of our website, submission of an inquiry, participation in an introductory conversation, or use of general educational material does not automatically create a therapist-client relationship, attorney-client relationship, fiduciary relationship, medical relationship, or other licensed professional relationship.

The word “confidential” may describe how we intend to treat a conversation, but it does not by itself create a legally privileged relationship.

Paid engagements may be governed by a separate written agreement that defines the scope, confidentiality obligations, fees, and responsibilities of the parties.

Individual experiences and testimonials do not guarantee that another person or organization will obtain the same result.

12. Retreats and in-person experiences may have additional requirements.

Retreats, workshops, gatherings, and other in-person experiences may involve travel, physical activity, nature, sound practices, emotional reflection, group participation, or other activities.

A participant may be required to agree to event-specific terms, cancellation policies, health and safety expectations, releases, or participation agreements.

Event schedules, facilitators, locations, activities, and other details may change when reasonably necessary.

The applicable event agreement will control when it provides more specific terms.

13. Real-estate information does not replace professional advice or transaction documents.

Real-estate information provided through The Nest website or conversations is general information unless a separate written agreement states otherwise.

Website content does not constitute legal, tax, lending, credit-repair, appraisal, brokerage, financial-planning, or investment advice.

Property transactions, purchases, sales, financing arrangements, short sales, investments, and other real-estate matters are governed by the applicable contracts, disclosures, loan documents, purchase agreements, closing documents, and other written transaction materials.

Nothing on the general website constitutes an offer to sell or a solicitation to purchase securities.

Any investment opportunity that may be offered by The Nest will be governed solely by its applicable offering materials, transaction documents, and applicable law.

14. Our text-message program has specific terms.

The Nest Investment Group LLC may operate text-message programs for people who request or consent to SMS communications.

Messages may include appointment confirmations, reminders, customer support, purchase information, license and renewal information, service updates, requested information, and promotional messages when the recipient has provided the appropriate consent.

You may opt out at any time by replying STOP to the number from which the message was received.

A confirmation message may be sent after an opt-out request.

You may request assistance by replying HELP or contacting us at [email protected].

Message frequency varies.

Message and data rates may apply.

Wireless carriers are not liable for delayed or undelivered messages.

Consent to receive promotional text messages is not a condition of purchasing goods or services where applicable law prohibits such a condition.

Our Privacy Policy explains how mobile information and SMS consent records are handled.

15. Email communications can be managed separately.

We may send transactional email related to accounts, purchases, assessments, requested resources, events, support, licenses, renewals, security, and other services.

Marketing email may be sent when permitted by law.

You may unsubscribe from marketing email using the unsubscribe mechanism included in the message.

An unsubscribe from marketing communication does not prevent necessary transactional or service-related email.

16. Third-party services operate under their own terms.

Our websites and services may integrate with or link to third-party services, including payment processors, scheduling systems, app stores, video platforms, communications providers, and other technology services.

The Nest does not control the independent terms, privacy practices, availability, or content of third-party services.

A third party's services are governed by its own agreements and policies.

17. We do not guarantee uninterrupted or error-free service.

Our websites, applications, content, and services are provided on an “as available” and “as is” basis to the maximum extent permitted by law.

We make reasonable efforts to provide useful, reliable, and secure services, but we do not guarantee uninterrupted availability, error-free operation, compatibility with every device, or a particular result from using a service.

To the maximum extent permitted by applicable law, The Nest disclaims implied warranties of merchantability, fitness for a particular purpose, noninfringement, and other warranties that may otherwise arise by law.

Nothing in these Terms excludes a warranty or right that applicable law does not allow us to exclude.

18. Our liability is limited to the extent permitted by law.

To the maximum extent permitted by applicable law, The Nest Investment Group LLC and its owners, officers, employees, contractors, and agents will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from or related to use of our websites, products, or services.

To the maximum extent permitted by law, our total liability arising from a particular paid service will not exceed the amount that you paid directly to The Nest for that service during the twelve months immediately preceding the event giving rise to the claim.

For a free service, our total liability will not exceed one hundred United States dollars.

These limitations do not apply to liability that cannot legally be limited or excluded.

19. Certain users may have indemnification obligations.

To the extent permitted by law, you agree to indemnify and hold harmless The Nest Investment Group LLC and its owners, officers, employees, contractors, and agents from third-party claims, liabilities, damages, and reasonable expenses arising from your unlawful use of our services, your violation of these Terms, your infringement of another person's rights, or content that you intentionally make public through our services.

This provision does not require a consumer to waive a right that applicable law does not permit to be waived.

20. Access may be suspended or terminated when necessary.

The Nest may suspend or terminate access when a user materially violates these Terms, misuses a service, threatens security, fails to pay required fees, exceeds an organizational license, or engages in conduct that could harm The Nest, another user, or a third party.

Termination does not eliminate obligations that by their nature should survive termination, including payment obligations, intellectual property restrictions, liability provisions, and dispute provisions.

21. Tennessee law governs these general Terms.

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles, except when federal law or another law must apply.

Unless a separate agreement provides another valid dispute procedure, a dispute arising from these Terms will be brought in a state or federal court with jurisdiction in Knox County, Tennessee.

Nothing in this section prevents either party from seeking emergency or injunctive relief when legally appropriate.

22. These Terms may change as our services change.

We may update these Terms to reflect changes in our products, services, business practices, or legal obligations.

The current version will be posted with its effective date.

When legally required, additional notice will be provided before a material change becomes effective.

Continued use after an updated version becomes effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.

23. Several general legal provisions apply.

If any provision of these Terms is held unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

A failure by The Nest to enforce a provision does not waive the right to enforce it later.

The Nest may assign these Terms as part of a merger, acquisition, restructuring, sale of assets, or similar business transaction.

You may not assign rights or obligations under these Terms when doing so would violate an applicable product agreement or law.

These Terms, together with our Privacy Policy and any applicable product-specific agreement, constitute the agreement governing the matters they address.
